Introduction

Welcome to School Of New Africa Ltd’s Terms and Conditions (“Terms and Conditions”). We encourage you to read these Terms and Conditions carefully to ensure a clear understanding of our policies and your role in our community. Our aim is to keep this Agreement as readable as possible, but in some cases for legal reasons, some of the language is necessarily “legalese”.

Your Acceptance of this Agreement

These Terms and Conditions are entered into by and between you and School Of New Africa Ltd (“SONA”, “Company,” “we,” “our,” or “us“). They govern your use of the SONA Platform, which includes the SONA website (www.schoolofnewafrica.com) and our mobile app.

Please read the Terms and Conditions carefully before you start to use the SONA Platform.

By accessing or using the SONA Platform (or by clicking to accept or agree to the Terms and Conditions when this option is made available to you), you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy. This agreement covers all content, functionality, and services offered on or through the SONA Platform, whether you are a guest or a registered user.

If you do not want to agree to these Terms and Conditions, you must not access or use our Platform.

If you are under 18 years old, you represent that you have your parent or guardian’s permission to use the SONA Platform. Please have them read these Terms and Conditions with you.

If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the SONA Platform, you are subject to the terms of these Terms and Conditions and responsible for your child’s activity on the Platform.

Updates to Terms and Conditions

We may need to update these Terms and Conditions or make changes to our service from time to time. This could involve adjustments to subscription fees or modifications to the services we offer.

When we make significant changes to these Terms and Conditions, we will notify you—either through email or by prominently displaying a notice on our website or the mobile app—and provide you with details of the changes.

Continuing to use the SONA Platform following the implementation of revised Terms and Conditions means that you accept and agree to the changes. Therefore, please make sure to read any notices we send. If you do not agree with the updated terms and no longer wish to use the SONA Platform, please notify us to cancel your subscription before the changes take effect.

Your Responsibilities

You are required to ensure that all persons who access the SONA Platform are aware of this Agreement and comply with it.

By using the SONA Platform, you agree to provide accurate, current, and complete information during registration and whenever prompted by the SONA Platform. This includes, but is not limited to, your email address, home address, and phone number. Your information will be processed and used in accordance with our Privacy Policy.

You are responsible for maintaining the confidentiality of your username, password, and any other security information. You must not share this information with anyone else. If you suspect that your account has been compromised or that someone else knows your password, you must notify us immediately and change your password.

If you enable biometric authentication (such as fingerprint or facial recognition) on the SONA app, ensure that only your biometric data is registered on your device. It is important not to let others add their biometric data to your device to maintain security. We do not process or store your biometric data; it remains encrypted on your device.

YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR YOUR USE OF THE SONA PLATFORM AND YOUR COMPUTER, INTERNET AND DATA SECURITY.

Prohibited Activities

You may use the SONA Platform only for lawful purposes and in accordance with these Terms and Conditions. You agree not to use the SONA Platform:

In any way that violates any applicable local or international law or regulation (including, without limitation, any laws regarding the exports of data software to and from the U.S. or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Submission Standards set out in these Terms and Conditions.
To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the SONA Platform, or which as determined by us, may harm the Company or users of the platform, or expose them to liability.

Additionally, you agree not to:

Use the SONA Platform in any manner that could disable, overburden, damage, or impair the platform or interfere with any other party’s use of the platform, including their ability to engage in real-time activities through the platform.
Use any robot, spider, or other automatic device, process, or means to access the SONA Platform for any purpose, including monitoring or copying any of the material on the Platform.
Use any manual process to monitor or copy any of the material on the SONA Platform, or for any other purpose not expressly authorised in these Terms and Conditions, without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the SONA Platform.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the SONA Platform, the server on which the SONA Platform is stored, or any server, computer, or database connected to the SONA Platform.
Attack the SONA Platform via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempting to interfere with the proper working of the SONA Platform.

Intellectual Property Rights

The SONA Platform, and its entire contents, features, and functionality, (including but not limited to the SONA logo, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms and Conditions permit you to use the SONA Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the SONA Platform, except as follows:

Your computer may temporarily store copies of such material in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
You may print or download one copy of a reasonable number of pages of the SONA Platform for your own personal, non-commercial use and not for further reproduction, publication or distribution.
If we provide desktop, mobile or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use.

You must not:

Modify copies of any materials from this site.
Delete or alter any of the copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of the SONA Platform or any services or materials available through the SONA Platform.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the SONA Platform in breach of the Terms and Conditions, your right to use the SONA Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the SONA Platform or any content on the SONA Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the SONA Platform not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws.

User Submissions and Submission Standards

The SONA Platform may allow you to create, submit, post, display, transmit, distribute, or broadcast content and materials, including but not limited to text, writings, video, audio, photographs, graphics, comments, ratings, reviews, feedback, or personal information (collectively, “Content”). You are responsible for your use of the SONA Platform and any content you provide, including compliance with applicable laws, rules, and regulations.

All User Submissions must comply with the standards set forth in these Terms and Conditions. By posting User Submissions, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, disclose, adapt, modify, publish, transmit, display, and distribute such Content for any purpose, including commercial advertising, and to prepare derivative works of, or incorporate in other works, such Content and grant and authorise sublicenses of the foregoing. The use and distribution may occur in any media format and through any media channels.

If you post content on social media platforms and tag us, you grant us permission to repost such content on our own platforms.

You represent and warrant that you own or control all rights to your User Submissions and have the right to grant the license granted above to us. You retain full ownership of all your Content and any intellectual property rights or other proprietary rights associated with your Content.

We are not liable for any statements or representations in your Content. You are solely responsible for your Content related to the SONA Platform and you agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Content. We have the right to edit, redact, or delete any Content and to pre-screen or delete any Content at any time and for any reason, without notice.

User Submissions must comply with all applicable local and international laws and regulations. User Submissions must not contain material that is defamatory, obscene, indecent, abusive, offensive, misleading, harassing, violent, hateful, inflammatory, or otherwise objectionable. User Submissions must not promote sexually explicit or pornographic material, violence, discrimination, or illegal activities.

Our Rights

We have the right, without provision of notice to:

Remove or refuse to post any User Submission for any or no reason in our sole discretion;
Take any action with respect to any User Submission that we deem necessary or appropriate in our sole discretion, including if we believe that such User Submission violates the Terms and Conditions, including the Submission Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the SONA Platform or the public, or could create liability for the Company;
Take appropriate legal action, including, without limitation, referral to or cooperation with law enforcement or regulatory authorities, or notifying the harmed party of any illegal or unauthorised use of the SONA Platform; and
Terminate or suspend your access to all or part of the SONA Platform for any or no reason, including, without limitation, any violation of these Terms and Conditions.

You waive and hold harmless the Company and its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, and successors from any and all claims resulting from any action taken by the company and any of the foregoing parties relating to any investigations by either the Company or by law enforcement authorities.

Third-Party Links and Content

For your convenience, the SONA Platform may provide links or pointers to third-party sites or third-party content. We make no representations about any other websites or third-party content that may be accessed from the SONA Platform. If you choose to access any such sites, you do so at your own risk. We have no control over the third-party content or any such third-party sites and accept no responsibility for such sites or for any loss or damage that may arise from your use of them. You are subject to any terms and conditions of such third-party sites.

Subscription Fees and Payments

We charge subscription fees, also referred to as membership fees, for the use of our services and offer various plans which can be selected on a monthly or annual basis during sign-up. The subscription fee covers access to the SONA Platform, including any additional features provided. The fees will be clearly communicated to you during the registration process.

Please note that SONA operates on a subscription model, meaning the membership fees are recurring and will continue to be charged based on the chosen billing cycle.

From time to time, SONA may offer free trial periods for new customers. The duration of the trial period will be specified at the time of sign-up. During the trial period, you will not be charged any subscription fees. However, certain charges may apply for specific services or features as outlined within the SONA Platform.

At the conclusion of the trial period, the applicable subscription fees will automatically be charged to your registered debit card. If you do not wish to continue with the subscription, you must cancel before the trial period ends to avoid being charged. Details on how to cancel can be found in the cancellation section below.

Subscription fees are typically collected based on the billing cycle you select at sign-up. Monthly subscriptions will be billed on a monthly basis, starting from the first day after the end of any applicable trial period or from the date you complete your registration if no trial period is offered. Annual subscriptions will be billed on an annual basis, commencing either after the trial period ends or on the registration date if no trial period is offered. Payments will then continue to be collected automatically according to the chosen billing cycle unless you choose to cancel your subscription.

You authorise such payment of recurring fees without requiring your prior approval for each recurring charge, until you notify us of your cancellation, or the Company terminates in writing in accordance with these Terms and Conditions.

Your payments to us will be processed using the debit card details you provide during registration. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the SONA Platform and to promptly update account and payment information, including email address, payment method, and payment card expiration date, in order to complete your purchases and contact you as needed.

You must ensure that there are sufficient funds available to cover the subscription fees. If we cannot collect the subscription payment from your registered debit card, we will notify you by email. We may re-attempt to collect the payment multiple times to ensure you can continue using the SONA Platform.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the SONA Platform.

SONA accepts most major debit cards. For your security, we do not store your bank details directly; they are securely processed and stored by our trusted payment partners.

Cancellation

You can cancel your subscription at any time by logging into your account or contacting us using the contact information provided below. Your cancellation will take effect at the end of the current billing period.

Subscription purchases are non-refundable, have no monetary value (for example, they are not a cash account or equivalent), and are purchases of only a non-exclusive, revocable, non-assignable and non-transferable right to use the subscription.

You may not transfer, sell, purchase, barter, or trade your subscriptions or attempt or offer to do so. Any attempted transfer will be null and void. Except as required by applicable law, we are not responsible for any refunds or credits in connection with any modified, suspended or terminated subscriptions.

Disclaimers, Liability and Indemnification

You understand and agree that your use of the SONA Platform, its content, and any goods, digital products, services, information or items found or attained through the SONA Platform is at your own risk. The website, its content, and any goods, services, digital products, information or items found or attained through the website are provided on an “as is” and “as available” basis, without any warranties or conditions of any kind, either express or implied including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

You acknowledge and agree that the company or its respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors make no warranty, representation, or endorsement with respect to the completeness, security, reliability, suitability, accuracy, currency, or availability of the website or its contents or that any goods, services, digital products, information or items found or attained through the website will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our website or the server that makes it available or content are free of viruses or other harmful components or destructive code.

How We Limit Our Liability to You

Except where such exclusions are prohibited by law, in no event shall the company nor its respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors be liable under these Terms and Conditions to you or any third-party for any consequential, indirect, incidental, exemplary, special, or punitive damages whatsoever, including any damages for business interruption, loss of use, data, revenue or profit, cost of capital, loss of business opportunity, loss of goodwill, whether arising out of breach of contract, tort (including negligence), any other theory of liability, or otherwise, regardless of whether such damages were foreseeable and whether or not the company was advised of the possibility of such damages.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms and Conditions or your use of the SONA Platform including, but not limited to, third-party sites and content, any use of the SONA Platform’s content and services other than as expressly authorised in these Terms and Conditions or any use of any goods, digital products and information purchased from this Platform.

Privacy Policy

Your provision of personal information through the SONA Platform is governed by our privacy policy located at https://schoolofnewafrica.com/privacy/ (the “Privacy Policy“).

Governing Law

The SONA Platform and these Terms and Conditions are governed by the law of England and Wales. However, if you are resident elsewhere in the UK, any relevant consumer protection law of your home jurisdiction that exceeds the consumer protection law of England and Wales will apply to the Agreement. All disputes arising out of or relating to the Agreement shall be subject to the jurisdiction of the courts of England and Wales. However, if you are resident elsewhere in the UK, the Agreement will be subject to the relevant court in your home jurisdiction (i.e. Scotland or Northern Ireland).

Severability
